Policy - Voting at meeting of members     By-Law Home

Each Organization member is entitled to receive notice of, attend, and vote at all meetings of the members of the Corporation.

Each Organization member shall have one (1) vote per meeting, exercisable upon full payment of dues.

In their role of representing the Household members, each Household Delegate shall be entitled to receive notice of, attend and have a single vote at all meetings of the members of the Corporation

At any meeting of members every question shall, unless otherwise provided by the articles or By-Laws or by the Act, be determined by a majority of the votes cast on the questions. In case of an equality of votes either on a show of hands or on a ballot or on the results of electronic voting, the chair of the meeting in addition to any original vote they may have, shall place an additional tie-breaking (casting) vote.  If the chair of the meeting prefers, they may abstain, in which case the question fails.

For the purpose of this policy,  an equality is defined as:

  • for questions requiring a simple majority,  an equal number of Yeas and Nays before the presiding tie-breaking vote.
  • for questions requiring a two/thirds approval in count, the number of Yeas being exactly twice the number of Nays.
  • for questions requiring a two/thirds approval of all votes cast, the number of Yeas being exactly two/thirds of the number of votes cast without any rounding.

A director who is the delegate, alternate or otherwise official voting representative of a member organization:

  • may cast the single vote for the member organization.
  • will count toward quorum.
  • will count as those voting for special and unanimous resolutions.

A director who is not a delegate, alternate or otherwise official voting representative of a member organization:

  • may attend and participate at all meetings of the members but, as a director, may not vote
  • must be a proxy holder for their organization in order to vote on the basis of the proxy for their organization
  • may be a single or multiple proxy holder for organizational members

As their purpose to provide representation for the household membership class, a Household Delegate may not provide a proxy for any meeting of the members. Their attendance is mandatory as a requirement of their position.

An person attending who holds one or more proxies may cast an individual vote for each of those proxies in addition to any vote which they are otherwise entitled to as a representative of a Organization member or as a Household Delegate.
